You Matter: Terms of Service
Version 1.0 · Effective August 24, 2026
You Matter is a teletherapy platform that connects patients with licensed therapists for online therapy sessions in Rwanda. These terms are split into three agreements based on your role on the platform.
Part 1: Patient Agreement
Applies to all patients, whether self-paying or accessing therapy through an organization.
What You Matter does for you
- Provides a secure platform for booking and attending online therapy sessions via video.
- Verifies therapist credentials before listing them on the platform.
- Processes your payments securely through our payment provider.
- Protects your session data and personal information with reasonable security measures.
- Keeps your therapy content (session notes, clinical records) confidential and visible only to you and your therapist. If you access You Matter through an organization, your employer can see that you are an active member but cannot see your session content, notes, or any individually identifiable therapy data.
What we ask of you
- Provide accurate information when you register and during your sessions.
- Keep your login credentials confidential.
- Cancel or reschedule sessions at least 24 hours before the scheduled time. Late cancellations or missed sessions may be charged at the full session rate.
- Use the platform respectfully: do not harass therapists, record sessions without consent, or use the platform for any unlawful purpose.
What You Matter is NOT
- You Matter is not an emergency or crisis service. If you are in immediate danger, contact local emergency services directly.
- You Matter does not provide clinical care. Your therapist provides the care; we provide the platform that makes it possible.
If something goes wrong
| If the problem is caused by | Responsibility falls on |
|---|---|
| Platform downtime, payment errors, data breaches from our systems, or incorrect display of therapist credentials | You Matter (the founders/platform) |
| The accuracy of information you provide, your own conduct on the platform, or your own device/connection | You, the patient |
| Clinical decisions, treatment quality, or therapist conduct during sessions | Your therapist (see Part 2) |
Part 2: Therapist Agreement
Applies to individual therapists offering sessions through You Matter.
What You Matter does for you
- Lists you on the platform after verifying your credentials.
- Handles session booking, scheduling, and video delivery.
- Processes patient payments and disburses your earnings (session fee minus You Matter's platform commission, as agreed between you and You Matter during onboarding) on the schedule agreed during onboarding to your connected payment account.
- Protects your account and professional data with reasonable security measures.
What we ask of you
- Submit genuine, current credentials (government ID, professional license, relevant qualifications) during onboarding, and notify us within 7 days if your license status changes.
- Conduct sessions according to the ethical and professional standards of your licensing body.
- Keep patient information confidential, stored only within the platform's tools, and never exported to personal or unencrypted storage.
- Do not solicit patients you met through You Matter to continue care outside the platform to avoid platform fees, for as long as you use the platform.
- Maintain your own professional liability/malpractice insurance.
Your relationship with You Matter
You are an independent practitioner, not an employee of You Matter. We do not direct, supervise, or review your clinical judgment. You are responsible for declaring and paying any taxes on your earnings from the platform.
If something goes wrong
| If the problem is caused by | Responsibility falls on |
|---|---|
| Platform downtime, payment processing errors, data breaches from our infrastructure, or our misrepresentation of your verified credentials | You Matter (the founders/platform) |
| Your clinical judgment, treatment decisions, session conduct, malpractice, or any ethical breach in your delivery of care | You, the therapist |
| A data breach caused by your own device, credentials, or storage practices | You, the therapist |
You agree to indemnify You Matter against claims arising from your clinical judgment or professional conduct. You Matter agrees to indemnify you against claims arising from platform-level failures that are not caused by your own actions.
Part 3: Organization Agreement
Signed by the organization administrator on behalf of the organization.
What You Matter does for your organization
- Provides access to the platform for your members (patients) and therapists under a seat-based billing plan.
- Shows the administrator aggregate, anonymized usage data (active members, session counts, average satisfaction). The administrator cannot see individual session content, clinical notes, or patient-identifiable therapy data. This is a structural limit that cannot be lifted.
- Processes seat-based billing at the rate and cycle selected at checkout.
What we ask of the organization
- The administrator confirms they have the authority to enter this agreement on the organization's behalf.
- Keep billing and contact details current. Pay invoices on time. Non-payment beyond 14 days past the due date may result in suspension of the organization's account.
- Remove departed employees or members from the roster promptly.
- Do not attempt to obtain clinical information about a member's care through any channel outside the platform's aggregate reporting.
Important: the administrator's signature does not replace individual acceptance
The administrator's acceptance of this agreement binds the organization to its own obligations (billing, data-access limits, roster management). It does not bind individual therapists or patients to their respective terms. Every therapist and every patient invited under the organization must independently accept their own agreement (Part 1 or Part 2) during their own account activation before they can use the platform.
If something goes wrong
| If the problem is caused by | Responsibility falls on |
|---|---|
| Platform downtime, billing errors, payment processing failures | You Matter (the founders/platform) |
| Roster accuracy, timely payment of invoices, administrator contact details | The organization |
| A therapist's clinical judgment, treatment decisions, or professional conduct | The individual therapist (per Part 2), never the organization, never You Matter |
Nothing in this agreement shifts a therapist's clinical liability onto the organization or onto You Matter, regardless of how that therapist joined the platform.
How Acceptance Works (All Three Parts)
-
Signup gate: At registration, the relevant agreement (Patient, Therapist, or Organization) is shown with a checkbox: "I have read and agree to the You Matter Terms of Service (v1.0)." The account cannot be activated until the box is checked. A therapist invited by an organization still must complete this step individually.
-
Recorded acceptance: Each acceptance is timestamped and stored with the user ID, document type, version number, and timestamp. For organizations, the system also tracks which members were added and whether each has completed their own individual acceptance.
-
Updated terms: If the terms are updated, users must re-accept the new version before continuing to use the platform. Booking, invitations, and payouts are paused until re-acceptance is complete.
General
- Not for emergencies: You Matter is not designed for crisis intervention. If you or someone you know is in immediate danger, contact local emergency services.
- Dispute resolution: These terms are governed by the laws of the Republic of Rwanda. Before filing a claim, both parties agree to attempt informal resolution by contacting youmatter.rw@gmail.com. If unresolved within 30 days, either party may submit the dispute to the competent courts of Rwanda in Kigali.
- Changes: You Matter may update these terms. Material changes require re-acceptance before continued use.
- Termination: You may close your account at any time. You Matter may suspend or terminate an account for breach of these terms, with notice where practicable.
